NodeLoc connects users and communities from different regions. These Terms of Service, together with the community rules followed by every user, make those interactions possible.

Except as otherwise provided in the applicable regional terms, the following general terms apply to all users. If regional terms conflict with these general terms, the regional terms will control.

1. Scope and Acceptance of These Terms

These Terms of Service (“Terms”) apply to your access to and use of the NodeLoc website, forums, mobile applications, and any other related online products and services we provide (collectively, the “Services”). The Services are operated by Nodeloc LLC, an entity organized under the laws of the State of Wyoming, United States (“NodeLoc,” “NL,” “we,” “us,” or “our”).

These Terms, together with our Privacy Policy and Community Guidelines, form the agreement between you and us regarding your use of the Services. Those policies and guidelines are incorporated into these Terms by reference. Additional terms may apply to specific features and will be presented to you before you use those features. If additional terms conflict with these Terms, the additional terms will govern your use of the applicable feature, unless mandatory law provides otherwise.

Before creating an account, signing in, or using account-based features, you must read and affirmatively agree to these Terms. If you do not agree to these Terms, do not create an account, sign in, or use the Services.

If you accept these Terms on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Eligibility and Age Requirements

You must be at least 13 years old and meet the minimum age required by the laws of your country or region to use the Services. Certain content or features may have a higher minimum age. You must also satisfy any higher age requirement displayed on the relevant page or within the application.

If you have not reached the age of legal majority where you live, your parent or legal guardian must review and agree to these Terms and assume responsibility for your use of the Services to the extent required by law.

You also represent that:

  • You have the legal capacity required to enter into these Terms;
  • You are not prohibited from using the Services under applicable law;
  • You have not been permanently suspended or prohibited from using the Services; and
  • The age and other registration information you provide is truthful, accurate, and kept current.

3. Privacy

Our Privacy Policy explains how we collect, use, retain, and share information about you. By using the Services, you acknowledge that we will process information as described in the Privacy Policy. Where applicable law requires separate consent for a particular processing activity, we will request that consent separately.

4. License to Use the Services

Subject to your continuing compliance with these Terms, we grant you a personal, limited, non-exclusive, non-transferable, and revocable license to:

  • Install and use our mobile application obtained from a legitimate source; and
  • Access and use the Services for personal purposes or other purposes expressly authorized by us.

Except for the rights expressly granted under these Terms, all rights in and to the Services, including the software, interfaces, designs, trademarks, logos, and other materials, are reserved by us or their respective owners.

We may update the Services or add, change, suspend, or discontinue certain features. We will provide advance notice where required by law or reasonably practicable. We do not guarantee that the Services will always be uninterrupted, error-free, or permanently available. Nothing in this paragraph limits any right that cannot lawfully be excluded.

5. Accounts and Account Security

You may need to create an account to use certain features. You agree to provide truthful, accurate, and current information and to maintain at least one valid email address.

You are responsible for safeguarding your account credentials and for activity conducted through your account. If you discover or suspect unauthorized access to your account, contact us immediately at [email protected].

Without our prior written approval, you may not sell, purchase, license, or transfer an account, username, or other unique identifier. You may not impersonate another person or use another person’s account.

You may close your account using the account deletion process provided through the Services. If that process is unavailable, contact us at [email protected]. Accounts and content will be deleted or retained in accordance with our Privacy Policy, applicable law, and reasonable backup cycles.

6. Your Content

“Content” includes information, text, links, images, audio, video, software, and other materials made available through the Services. “Your Content” means Content submitted, posted, or otherwise made available by you or through your account.

You retain the rights you lawfully hold in Your Content. You represent and warrant that you possess all rights necessary to submit Your Content and grant the license below, and that Your Content does not infringe another person’s intellectual property, privacy, personality, or other legal rights.

To operate, display, distribute, maintain, protect, and improve the Services, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, reformat, display, and distribute Your Content. This license is limited to what is reasonably necessary to provide and improve the Services, enforce these Terms, and comply with our legal obligations.

After Your Content is deleted from the Services, this license will end following a reasonable technical and backup processing period, except where:

  • Other users continue to lawfully use that Content under a sharing choice or license you provided;
  • We are legally required to retain the Content; or
  • Retention is necessary to investigate violations, resolve disputes, or protect legal rights.

You are responsible for Your Content. Unless we expressly state otherwise, user Content does not represent NodeLoc’s views, and we do not endorse or guarantee the accuracy, completeness, or reliability of user Content.

7. Content Standards and Zero-Tolerance Policy

NodeLoc has zero tolerance for objectionable Content and abusive conduct, including harassment, threats, hate, and abuse. Users must not post, distribute, or assist in distributing such Content, or use the Services to harass, threaten, deceive, or harm other users.

You may not submit, post, or distribute any of the following Content or engage in any of the following conduct, including without limitation:

  • Illegal or fraudulent Content or conduct, or Content that encourages illegal activity;
  • Harassment, stalking, threats, bullying, abuse, hate, discrimination, or incitement of violence;
  • Pornography, sexual exploitation, sexual Content involving minors, or Content intended to facilitate prostitution or human trafficking;
  • Content that infringes another person’s copyright, trademark, privacy, right of publicity, trade secret, or other legal right;
  • Unauthorized disclosure of another person’s personal, confidential, or private information;
  • Impersonation, false claims of affiliation with another person or NodeLoc, or deceptive manipulation of a community;
  • Spam, malicious advertising, fraudulent links, malicious code, viruses, spyware, or other Content that may harm users, the Services, or third parties;
  • Circumvention of security, age, access, suspension, or Content-management measures; or
  • Any other Content or conduct that violates these Terms, the Community Guidelines, or applicable law.

This list is not exhaustive. The Community Guidelines may provide more detailed rules for particular communities, types of Content, and conduct.

8. Reporting, Blocking, and Content Moderation

If you believe that Content or a user violates these Terms or the Community Guidelines, you may report it to the moderators using the reporting feature available from the relevant Content or user page. You may also contact us at [email protected]. We will review reports in a timely manner and take appropriate action based on the nature, context, and severity of the matter and the applicable rules.

You may use the blocking feature available through the Services to block an abusive user. Once blocked, that user’s topics and replies will be removed immediately from the relevant lists shown to you. Content associated with the action that caused you to block the user will also be reported to the moderators for review. Blocking does not prevent us from processing relevant information for safety, investigations, appeals, or compliance with legal obligations.

We may use automated tools, human review, and community moderation systems to identify, restrict, or address potentially violating Content. Although we reserve the right to review, screen, restrict, edit, or remove Content, we do not undertake to review all Content before it is posted unless applicable law provides otherwise.

After receiving a report or otherwise identifying a violation, we may take one or more actions, including:

  • Reducing the visibility of Content, adding warnings, or limiting its distribution;
  • Removing or editing Content, or restricting access to it;
  • Restricting account features or temporarily or permanently suspending an account;
  • Preserving relevant records and cooperating with lawful investigations; or
  • Notifying relevant authorities where required by law or necessary to prevent real-world harm.

Serious or repeated violations may result in the immediate removal of Content and the immediate suspension or permanent termination of an account. We reserve the right to correct moderation decisions. If an appeal process is made available through the Services, you may use it as instructed.

9. Prohibited Conduct

In addition to the restrictions in Section 7, you may not, without our written permission:

  • Access or use the Services in a manner that interferes with, disrupts, overloads, or damages the Services;
  • Circumvent or attempt to circumvent any security, access, rate, Content, or technical restriction;
  • Access another user’s account, any non-public part of the Services, or related computer systems without authorization;
  • Decompile, reverse engineer, disassemble, or attempt to obtain the source code of any part of the Services, except where applicable law expressly permits it;
  • Scrape, bulk-collect, or automatically access the Services or their data, except in compliance with our robots.txt, published interface rules, or a separate written agreement;
  • Use the Services to build a competing product, resell the Services, or otherwise commercially exploit the Services without authorization;
  • Send spam, chain letters, unsolicited commercial messages, or collect information for an unauthorized marketing database;
  • Remove or alter any proprietary notice contained in materials made available through the Services; or
  • Encourage, assist, or direct another person to violate these Terms.

10. Community Administrators and Moderators

Some communities may be assisted by user administrators or moderators. Unless we expressly authorize otherwise in writing, user administrators and moderators are not employees or agents of NodeLoc and have no authority to make commitments on NodeLoc’s behalf.

Administrators and moderators must comply with these Terms, the Community Guidelines, and any applicable moderation rules. After receiving a report, they must take reasonable action, including addressing clearly violating Content or promptly escalating it to NodeLoc for review. We may revoke or restrict a user’s moderation privileges and may reverse any moderation decision that we believe is inconsistent with these Terms or the interests of the community.

11. Intellectual Property Complaints

We respect the intellectual property rights of others. If you believe that Content available through the Services infringes a copyright, trademark, or other intellectual property right that you own or control, email [email protected] and provide, where possible:

  • The identity and contact information of the rights holder and the person submitting the notice;
  • The location or URL of the allegedly infringing Content;
  • A description of the relevant right and the basis of the alleged infringement;
  • Documentation reasonably demonstrating ownership of the right; and
  • A statement that the information in the notice is truthful and accurate.

We may request additional information that is reasonably necessary and may remove or restrict access to allegedly infringing Content as permitted by law. We may suspend or terminate the accounts of repeat infringers.

12. Third-Party Content and Services

The Services may contain Content, links, products, or services provided by third parties or other users. We do not control or endorse such third-party Content. Your use of a third-party service may be governed by that third party’s terms and privacy policy.

If the Services offer paid features, digital goods, or promotions, related transactions may also be governed by additional terms displayed at checkout and by the rules of the Apple App Store, Google Play, or another payment provider. Statutory refund rights, consumer protections, and other rights that cannot lawfully be excluded remain unaffected.

13. Enforcement of These Terms

We may investigate conduct suspected of violating these Terms, the Community Guidelines, or applicable law and may take reasonable action to the extent permitted by law. You agree to reasonably cooperate with such investigations where necessary.

To protect users, the Services, third parties, or public safety, or to comply with legal process, we may preserve and disclose relevant information and cooperate with law enforcement or other competent authorities. We will do so only where we have a lawful basis and in accordance with our Privacy Policy.

Our failure to take immediate action in response to a particular violation does not waive our right to act with respect to that violation or any future violation.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will publish the revised Terms and update the date shown at the top. If a change materially affects your rights or obligations, we will provide advance notice within the period required by law by email, website notice, in-app notice, or another reasonable method. The regional terms in Section 19 may require a longer advance-notice period.

Where the law requires us to obtain renewed consent, we will ask you to affirmatively accept the revised Terms before you continue using the relevant Services. If you do not agree to the revised Terms, you must stop using the Services and may delete your account.

15. Suspension, Termination, and Account Deletion

You may terminate these Terms at any time by ceasing to use the Services and deleting your account.

To the extent permitted by law, we may restrict, suspend, or terminate your account or access if you violate these Terms, the Community Guidelines, or applicable law; create a risk to other users or the Services; or if we are legally required to act. Where circumstances permit, we will provide the principal reason and information about any available appeal. We may act without advance notice if notice could create a safety risk, interfere with an investigation, or violate the law.

Provisions that by their nature should survive termination will remain in effect, including provisions concerning Content licenses, intellectual property, liability, dispute resolution, and miscellaneous terms.

16. Disclaimers

To the fullest extent permitted by applicable law, the Services are provided “as is” and “as available.” We do not warrant that the Services will always be secure, error-free, or uninterrupted, or that user or third-party Content will be accurate, complete, or reliable.

You understand that internet services may be affected by third-party networks, devices, software, and other circumstances beyond our reasonable control.

These Terms do not exclude or limit any warranty, liability, or consumer right that cannot lawfully be excluded or limited.

17. Limitation of Liability

NodeLoc’s liability is limited only to the fullest extent permitted by applicable law. These Terms do not exclude or limit any liability that cannot lawfully be excluded or limited, including liability that applicable law does not permit us to limit for death or personal injury, fraud, intentional misconduct, gross negligence, or statutory consumer rights.

The specific liability rules applicable to you depend on where you live. Users in the United States and outside the EEA, the United Kingdom, and Switzerland are subject to Section 19.1. Users in the EEA, the United Kingdom, or Switzerland are subject to Section 19.2.

18. Indemnity

To the extent permitted by applicable law and not considered unfair, if a third party brings a claim against NodeLoc as a result of Your Content, your unlawful use of the Services, your violation of these Terms, or your infringement of a third party’s rights, you agree to indemnify NodeLoc for reasonable losses and expenses arising from that claim. For consumers in the EEA, the United Kingdom, and Switzerland, this provision applies only to the extent permitted by local law, proportionate to your fault, and without limiting mandatory consumer rights.

We will notify you of the relevant claim within a reasonable time and reserve the right, to the extent permitted by law, to participate in or control its defense and settlement. Without your consent, we will not settle in a manner that requires you to admit fault or accept additional non-monetary obligations, but you may not unreasonably withhold consent to a reasonable settlement.

19. Regional Terms, Governing Law, and Dispute Resolution

If you have a question or dispute concerning the Services, these Terms, or one of our Content-moderation decisions, please first contact us at [email protected]. We hope to resolve concerns informally, but this does not restrict any right you have to complain, appeal, or bring legal proceedings.

19.1 Users in the United States and Outside the EEA, the United Kingdom, and Switzerland

Contracting Entity and Acceptance

Your contracting entity is Nodeloc LLC, located at 30 N Gould St # R, Sheridan, WY 82801-6317, United States. By accessing or using the Services, you agree to be bound by these Terms. Before you create an account or sign in to use an account-based feature, you will also be required to affirmatively accept these Terms.

Limitation of Liability

To the fullest extent permitted by applicable law, NodeLoc will not be liable for any indirect, incidental, special, punitive, or consequential damages, or for any loss of profits, revenue, goodwill, data, or opportunity, arising out of the Services, these Terms, user Content, or third-party conduct.

To the fullest extent permitted by applicable law, NodeLoc’s aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of:

  • The amount you actually paid for the relevant Services during the six months before the event giving rise to the claim; or
  • USD 100 or its equivalent in local currency.

Some countries, states, or jurisdictions do not permit the exclusion of certain warranties or the limitation of certain damages. As a result, some of the above limitations may not apply to you.

Governing Law and Courts

Without affecting any rights or statutory remedies available to you under mandatory law in your place of residence, these Terms and disputes relating to the Services are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. To the extent that the parties may lawfully agree on jurisdiction, disputes must be brought in a court of competent jurisdiction located in Sheridan County, Wyoming, or in the United States District Court for the District of Wyoming. You and NodeLoc consent to personal jurisdiction in those courts.

19.2 Users in the EEA, the United Kingdom, and Switzerland

Contracting Entity and Acceptance

Your contracting entity remains Nodeloc LLC, located at 30 N Gould St # R, Sheridan, WY 82801-6317, United States. NodeLoc does not currently represent that it has a local contracting entity in the EEA, the United Kingdom, or Switzerland.

To use account-based Services, you must accept these Terms. These Terms will be presented to you before you create an account or sign in and will remain available while you use the Services. If you do not accept them, you may not create an account, sign in, or use account-based features.

Mandatory Consumer Rights

These Terms do not affect the mandatory consumer rights available to you under the laws of your country of residence, including any applicable rights of withdrawal, refund rights, statutory guarantees, data-protection rights, rights to complain to a consumer-protection authority, or rights to judicial remedies. Any provision that conflicts with those mandatory rights applies only to the extent permitted by law.

Content Reports and Moderation Decisions

You may use the reporting feature in the application or on the website to report Content that you believe is illegal or violates these Terms. You may also contact us at [email protected]. When reporting Content, please provide the Content URL, the reason for your report, and any necessary explanation where possible.

Where required by law, we will process reports in a timely manner, provide affected users with the principal reasons for a moderation decision, and inform them of any available internal complaint, appeal, or statutory remedy. We will not take retaliatory action against a user for submitting a report, complaint, or appeal in good faith.

Changes to These Terms

If a change materially affects your rights or obligations, we will notify you at least 30 days before it takes effect using the email address associated with your account, a website notice, an in-app notice, or another reasonable method. This advance-notice period does not apply where the law permits an immediate change or where security, compliance, or another urgent reason requires the change to take effect sooner.

If you do not agree to a change, you may stop using the Services and delete your account before the change takes effect. Where the law requires renewed consent, we will ask you to affirmatively agree before you continue using the relevant Services.

Limitation of Liability

NodeLoc is liable for reasonably foreseeable losses arising from a breach of a material contractual obligation typical of this kind of agreement. To the extent permitted by applicable law, we are not liable for losses resulting from a minor breach of another duty of care.

This limitation does not apply to liability that cannot be limited by law, including losses caused by our intentional conduct or gross negligence, death or personal injury caused by our negligence, fraud, or liability arising from something we specifically promised to you.

Governing Law and Courts

You retain the protection of mandatory consumer laws in your country of residence. Wyoming law applies to these Terms only to the extent that applying it does not deprive you of those mandatory protections.

You may bring proceedings before a court with jurisdiction in your country of residence and may use any consumer complaint or other dispute-resolution mechanism available under local law. NodeLoc does not require consumers in the EEA, the United Kingdom, or Switzerland to waive the jurisdiction of their local courts under these Terms.

Before publication, Section 19 should be reviewed by a lawyer familiar with the laws of the State of Wyoming and the consumer-protection requirements of the EEA, the United Kingdom, and Switzerland. The former terms combined Hong Kong jurisdiction, arbitration through the American Arbitration Association, and the U.S. Computer Fraud and Abuse Act in an internally inconsistent manner that did not match the Wyoming operator information. Those provisions have therefore not been retained in this draft.

20. Miscellaneous

These Terms, the Privacy Policy, the Community Guidelines, and any additional terms expressly incorporated into them constitute the entire agreement between you and us concerning the Services.

If any part of these Terms is held invalid or unenforceable, that part will be enforced to the greatest extent permitted by law or modified only to the minimum extent necessary, and the remaining provisions will remain in effect.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights or obligations under these Terms to the extent permitted by law. If an assignment materially affects consumer rights, we will provide notice as required by law.

Section headings are provided for convenience only and do not affect interpretation. The words “include,” “includes,” and “including,” and phrases such as “for example,” introduce examples and do not create an exhaustive list.
